Newcleo files to register up to 217,834,936 shares for resale

Newcleo filed an SEC registration statement on October 6 seeking to register up to 217,834,936 ordinary shares for resale by existing securityholders, alongside shares underlying warrants. The filing says the outstanding ordinary shares covered represent 71.1% of its total outstanding ordinary shares. The registration would let holders sell through public or private transactions once effective, subject to applicable lock-ups. Newcleo would receive no proceeds from their ordinary-share sales and warns that potential selling could increase price volatility or cause a significant decline. The resale total includes 17,677,233 shares issuable only if share-price vesting conditions are met. None of those conditions has been satisfied.
